1. Introduction

1.1 These terms and conditions (the Terms) set out the basis on which you may browse and use our website, attend our events, seminars, webinars, training courses and conferences (Events), access our membership services (Membership Services) and access and/or download our digital publications and training materials (Publications), available at www.alpsp.org (the Site). The terms you or your, when used in these Terms, refer to you as a user of the Site and, as applicable, to your organization as an ALPSP member (Member).

1.2 This Site is owned and operated by The Association of Learned and Professional Society Publishers, a company limited by guarantee and incorporated in England & Wales (company number 4081634), with its principal place of business at Suite 7A, Building 6, Croxley Park, Hatters Lane, Watford, Hertfordshire, WD18 8YH (ALPSP, we, us or our).

1.3 Your use of the Site will be governed by these Terms and any other documents contained in these Terms, which will form a legal contract between us and you. By browsing or using this Site you are agreeing to be legally bound by the Terms.

2. Changes to the Terms

2.1 We may revise the Terms from time to time, for example if there are changes to relevant laws and regulatory requirements or changes to our business practices. If we revise these Terms we will (i) post the revised Terms on the Site and update the “Last Updated” date below, and (ii) if you are a Member we will email you and give you at least one month's written notice of any changes to these Terms before they take effect. If you are a Member and do not wish to accept the changes, please contact us to cancel your membership by sending a message via our Contact Us form.

2.2 Your use of the Site will be subject to the most recent version of the Terms available on the Site. We recommend that you read through the Terms available on the Site regularly so that you can be sure that you are aware of any changes that may apply to you.

2.3 These Terms were last updated on 30 December 2019.

3. Membership

Eligibility

3.1 We offer membership to eligible organisations and individuals. Details of the membership options currently available, including eligibility criteria, benefits and applicable Subscription Rates, are available on our membership pages.

3.1.1 Organisation Membership is available to organisations involved in publishing academic and professional information and to organisations involved in the production, promotion, distribution or collection of academic and professional information, or which otherwise work with or support the scholarly publishing community, subject to ALPSP's published eligibility criteria.

3.1.2 Individual Membership is available to individuals who satisfy the eligibility criteria for the relevant category. Individual Membership categories currently include Student, Transitional, Early Career, Retiree and Redundancy Support. Further information about the eligibility criteria and benefits applicable to each category is available on our membership pages.

3.2 If you are an employee of an Organisation Member, you can access and use the Membership Services and benefits made available to employees of that Member, subject to any conditions applicable to the relevant benefit.

3.3 Subsidiaries of an Organisation Member may benefit from its membership where permitted by ALPSP. A parent company of an Organisation Member does not automatically benefit from a subsidiary's membership.

3.4 Individual Membership is personal to the named individual and cannot be transferred to another person or organisation.

3.5 Individual Members must continue to satisfy the eligibility criteria applicable to their membership category. Where an Individual Member's circumstances change during their membership period in a way that may affect eligibility, they must notify ALPSP. Unless ALPSP advises otherwise, the Member may continue to receive the benefits of their existing category until the end of the current membership period but may not be eligible to renew in the same category.

3.6 Transitional Membership, Early Career Membership and Redundancy Support are available for a maximum of one membership year unless ALPSP expressly states otherwise. Student Membership may be renewed while the Member continues to meet the applicable eligibility criteria. Retiree Membership may be renewed subject to continued eligibility.

Applying for Membership

3.7 You may apply for membership by following the instructions on our membership pages and completing the applicable membership application on behalf of yourself or your organisation.

3.8 You are responsible for ensuring that the information provided in your membership application is complete and accurate. If you become aware of any error or need to make a change, please contact ALPSP.

3.9 By submitting your application to us, you represent and warrant on a continuing basis, on behalf of yourself or your organisation as applicable, that:

3.9.1 where you are applying on behalf of an organisation, you have the authority to act on behalf of that organisation;

3.9.2 you accept and will comply with the ALPSP Code of Conduct and any applicable membership guidelines;

3.9.3 the information that you have provided to us, whether in the membership application or otherwise, including any information used to calculate your Subscription Rate or assess eligibility for a discount, is accurate, current and complete, and that you will maintain and promptly update such information;

3.9.4 you shall adhere to legal and ethical good practice; and

3.9.5 you will not bring ALPSP into disrepute through your activities or business practices.

3.10 When you submit your application to us, this does not mean that we have accepted you or your organisation as a Member. We will check the details provided and may request further information or evidence to confirm eligibility. Applications are subject to approval in accordance with ALPSP's Articles of Association. You will receive confirmation if your application has been accepted. A legally binding contract for membership will only be formed when we confirm acceptance and any applicable Subscription Rate has been paid, or an approved payment arrangement has been put in place.

3.11 If your application is accepted, we will provide details of the applicable Subscription Rate and payment arrangements. Membership will be activated once the applicable payment has been received or an approved payment arrangement has been established, unless we confirm otherwise.

Subscription Rates and Discounts

3.12 Organisation Membership subscriptions run from 1 January to 31 December in each calendar year. Individual Membership subscriptions run for 12 months from the date on which the membership is activated, unless a different period is stated for the relevant membership category.

3.13 Where an Organisation Member joins part-way through the calendar year, we will pro-rata the initial Subscription Rate as follows:

3.13.1 if you become an Organisation Member between 1 January and 31 March, you will be charged 100% of the initial Subscription Rate;

3.13.2 if you become an Organisation Member between 1 April and 30 June, you will be charged 75% of the initial Subscription Rate;

3.13.3 if you become an Organisation Member between 1 July and 30 September, you will be charged 50% of the initial Subscription Rate; and

3.13.4 if you become an Organisation Member between 1 October and 31 December, you will be charged 25% of the initial Subscription Rate.

3.14 Individual Membership Subscription Rates are not pro-rated and apply for the full membership period from the date on which membership is activated, unless otherwise stated for the relevant membership category.

3.15 The Subscription Rate payable will be the rate published or otherwise notified by ALPSP for the relevant membership category at the time of application or renewal. Organisation Membership rates may be calculated by reference to the subscription bands and eligibility criteria published by ALPSP from time to time.

3.16 All Subscription Rates are exclusive of VAT or any equivalent sales tax, where applicable. You may only pay using the methods of payment and currencies made available by ALPSP.

3.17 We will use our reasonable endeavours to ensure that all Subscription Rates and details of membership options listed on the Site are correct, however errors may occur. We will notify you as soon as possible if an error is identified, and you will be given the option of confirming your application at the correct price or cancelling the application and receiving a full refund. We will only make refunds to the same method of payment used to make the purchase, where practicable.

3.18 ALPSP may offer reduced Organisation Membership Subscription Rates to eligible organisations based primarily in countries classified by the World Bank as Low Income or Lower-Middle Income countries. Eligibility and the level of any discount will be determined in accordance with ALPSP's published LIC/LMIC discount scheme, including any applicable criteria relating to country classification and number of employees. The scheme and the applicable rates may be amended from time to time.

3.19 An applicant or Member claiming a reduced Subscription Rate must provide any information or evidence reasonably requested by ALPSP to establish eligibility. If eligibility changes, the Member must notify ALPSP. Discounts will not be applied retrospectively.

Direct Debit

3.20 Where offered by ALPSP, membership subscriptions may be paid by Direct Debit through ALPSP's nominated payment provider. Payments may be collected by instalments during the membership period in accordance with the payment schedule notified to the Member.

3.21 Payment by Direct Debit instalments does not create a monthly membership and does not reduce the Member's liability for the Subscription Rate due for the full membership period. Cancelling a Direct Debit mandate does not, of itself, cancel membership or remove liability for any amount already due to ALPSP.

3.22 An Organisation Member that elects to pay its membership Subscription Rate by Direct Debit will receive a 2% discount on the applicable Subscription Rate for the first membership year in which payment is made by Direct Debit, where that offer is available at the time the Direct Debit arrangement is established. This applies whether the Organisation Member is joining ALPSP for the first time or is an existing Member changing its payment method to Direct Debit. The discount applies for one membership year only. From the following membership year onwards, the Member will pay the applicable published Subscription Rate unless otherwise agreed by ALPSP.

3.23 Individual Members may pay by Direct Debit where that payment method is offered, but the 2% first-year Direct Debit discount does not apply to Individual Membership.

Membership Benefits

3.24 Members are entitled to the benefits applicable to their membership category as published by ALPSP from time to time. Benefits may vary between membership categories and may be subject to separate eligibility criteria or additional terms.

3.25 Member rates, discounts and other benefits must be claimed in accordance with the instructions provided by ALPSP and will not be applied retrospectively to purchases already made.

Renewals and Termination

3.26 Before the end of the current membership period, we will send your renewal notice or otherwise make renewal information available, including the applicable Subscription Rate for the next membership period.

3.27 On renewal, you must check that your contact details and any information used to determine your eligibility, membership category, Subscription Rate or applicable discount remain correct and inform us of any changes or amendments required.

3.28 If you wish to renew your membership, you must pay the applicable Subscription Rate, or have an approved payment arrangement in place, by the payment date specified by ALPSP.

3.29 If you do not wish to renew your membership, your membership will lapse at the end of the current membership period and you will no longer be entitled to Membership Services or Member benefits.

3.30 An Individual Membership category stated to have a maximum duration of one membership year cannot be renewed in that category. The individual may apply for another membership category if they meet the applicable eligibility criteria.

3.31 If you wish to cancel your membership before the end of the current membership period, please contact ALPSP. Any cancellation and any entitlement to a refund will be subject to these Terms and any applicable statutory rights.

3.32 We may suspend or terminate membership where we reasonably believe that a Member has materially breached these Terms, the ALPSP Code of Conduct or applicable membership requirements, has provided materially inaccurate or misleading information, has misused membership benefits, or has failed to pay amounts due. Any termination of membership will be subject to ALPSP's Articles of Association and applicable procedures. Subject to any statutory rights, a Member will not be entitled to a refund of membership fees where membership is terminated for breach.

3.33 In the event of termination or non-renewal of membership, you will no longer be able to access Membership Services or Member benefits.

Privacy and Security

3.34 When setting up membership, you may be required to provide personal information about yourself and, where applicable, colleagues within your organisation, together with payment details. For information about how we use personal information, please see our Privacy Policy.

3.35 If you are a Member, or an employee of an Organisation Member, you may set up a user account. If you set up a user account, the account password should be unique and kept secure. You agree not to share your account password and to keep it confidential. You must notify us immediately in the event of any security breach or unauthorised use of your account.

4. Events

Purchasing tickets

4.1 You may purchase tickets to our Events by using the Site, subject to availability and to these Terms. Our Events are available to both  Members and non-Members unless otherwise notified, however Members are eligible to receive concessions on certain Events in accordance with their membership plan.

4.2 In order to purchase tickets to our Events on the Site, you will need to set up a user account. If you set up a user account, the account password you provide should be unique and kept secure. You agree not to share your account password, and to keep your password confidential. You must notify us immediately in the event of any security breach or unauthorised use of your account.

4.3 In order for you to benefit from a Member-only concession for an Event, or series of Events, your organization must be a Member at both the time of purchase and the time of the Event, or in the case of a series of Events, at both the time of purchase and the time of each Event in the series. If your organization is no longer a Member on the date on which the Event takes place and you still wish to attend the Event, you hereby agree to pay us the difference (if any) between the discounted price and the full price.

4.4 Please ensure that you read these Terms carefully before you submit your order for an Event. Please ensure that you check that the details in your order are complete and accurate, before you submit your order. If you think that there is a mistake or require any changes, please contact us to discuss. We will confirm any changes in writing to avoid any confusion between you and us.

4.5 It is your responsibility to verify that the Event is suitable for your (or your delegates’) requirements and that you (or they) have the necessary level of competence to be able to achieve the objectives, if any, of the Event.

4.6 When you submit any order to us, this does not mean we have accepted your order for an Event. Event prices and offers (including Member concessions) are subject to availability, and are not confirmed until payment has been successfully received. When your order has been accepted you will receive an email confirming this. Please check your email on receipt and contact us immediately if there is a mistake.

4.7 If requested, you must produce your e-ticket or provide your name as shown on your e-ticket in order to gain entry to the Event, and we reserve the right to see proof of identity. Where a concession is claimed, proof of the concession entitlement is required at the point of purchase. Failure to supply such proof when required may result in the full price being charged.

Prices

4.8 Prices for Events will be as shown at the time you place your order on our Site.

4.9 We will use our reasonable endeavours to ensure that all prices and details of the Events listed on the Site are correct, however errors may occur. We will notify you as soon as possible in the event that there has been an error, and you will be given an option of confirming the order with the correct price, or cancelling the order and receiving a full refund. If we are not able to contact you after reasonable attempts have been made, we will treat the incorrect order as cancelled, and you will receive a full refund.

4.10 All Event prices are exclusive of VAT or any equivalent sales tax (if applicable). You may only pay using the methods of payment and currencies displayed on the payment page; no other methods of payment or currencies will be accepted.

Admission

4.11 Admission to the Event is at all times subject to any terms, conditions or rules of the venue operator. If you breach those terms, conditions or rules then the venue operator may refuse admission or require you to leave the venue.

4.12 Latecomers may not be admitted. No refunds will be issued.

4.13 You may take pictures of the Event and share these on social media unless we otherwise notify you. You may only take sound recordings or videos of the Event with our express prior permission.

4.14 We, our service providers or partners may photograph and/or record the Event for later use by us, including without limitation for commercial, administrative, archival, promotional, educational and/or research purposes, and for publication on the Site, and by purchasing tickets you irrevocably consent to being included in the photograph or recording. We will endeavour to let you know, for example by notices at the Event, if we will be photographing or recording. You further irrevocably and unconditionally grant to us all consents which may be required for our use of your image and/or voice as part of such photograph or recording by all means and in all media whether now known or hereafter invented throughout the world for the full period of copyright (including all extensions, revivals, reversions and/or renewals) in perpetuity. If you do not wish your image or words to be recorded, archived and/or published in this way, you should not purchase tickets for the Event.

Materials

4.15 The copyright and all other intellectual property rights in all Event materials shall remain the sole and exclusive property of ALPSP. You undertake that you will not copy or permit the photocopying of Event materials, nor disclose or permit the disclosure or sell or hire the same to third parties, nor use the same for running your own courses.

Changes to Events

4.16 We reserve the right to amend the specification and format of our Events for the benefit of delegates and without notice.

4.17 We reserve the right to make alterations to the Event where necessary, including to the speakers, time and venue. We will use our reasonable endeavours to notify you of any such alterations using the details you provided us with at the time of ordering.

4.18 We reserve the right to withdraw, cancel or reschedule any Event for any reason and in our sole discretion. In the unfortunate event where we have to cancel an Event, we will use our reasonable endeavours to notify you using the details you provided us with at the time of ordering. When this is unavoidable, we will provide you with a full refund or at your option apply all monies paid to us for the Event to a rescheduled or alternative Event. We will only make refunds to the same method of payment which you used to make your purchase.

Cancellation & Refund Policy

4.19 Subject to Clause 4.21, you may cancel your attendance at an Event at any time by messaging us via our Contact Us form. If you cancel:

4.19.1 at least 6 weeks prior to the Event, we will provide you with a full refund;

4.19.2 fewer than 6 weeks but at least 4 weeks prior to the Event, we will refund you 75% of the monies paid to us for the Event;

4.19.3 fewer than 4 weeks but at least 2 weeks prior to the Event, we will refund you 50% of the monies paid to us for the Event; or

4.19.4 fewer than 2 weeks prior to the Event, you will not be entitled to a refund.

4.20 Subject to Clause 4.22, you may substitute your delegates attending the Event at no charge up until the day before the Event.

4.21 You may cancel your attendance at the ALPSP Conference at any time by messaging us via our Contact Us form. If you cancel:

4.21.1 more than 14 weeks prior to the first day of the ALPSP Conference, we will refund you 75% of the registration fee paid to us;

4.21.2 less than 14 weeks but at least 8 weeks prior to the first day of the ALPSP Conference, we will refund you 50% of the registration fee paid to us; or

4.21.3 less than 8 weeks prior to the first day of the ALPSP Conference, you will not be entitled to a refund.

4.22 You may substitute your delegates attending the ALPSP Conference at no charge up until one week before the ALPSP Conference.
4.23 Once an on-demand course has been purchased and access granted, we are unable to offer any refunds. Access to the course will be available for six months from the date of purchase. No extensions or refunds will be provided if the course is not completed within this timeframe. However, an extension may be offered at our discretion and may be subject to an additional fee.

4.24 Any accommodation booked in connection with an Event will be subject to separate terms, which will be made available to you at the time of booking.

5. Publications

5.1 You may access our Publications by using the Site, subject to eligibility (as some Publications are only available to Members), availability and to these Terms.

5.2 The prices for our Publications will be as shown on our Site. All prices are exclusive of VAT or any equivalent sales tax (if applicable).

Research Publications

5.3 For the purpose of this Clause 5, Research Publications means reports detailing the output of research commissioned by or undertaken by ALPSP and excludes our bulletins and our journal Learned Publishing.

5.4 Members are entitled to a PDF file of all Research Publications free of charge and may order print copies on request and at charge. Non-Members may order PDF file and/or print copies of Research Publications on request and at charge. Please note that alternate terms and conditions may apply to individual Non-Members who may be purchasing Research Publications for reasons outside their trade, business, craft or profession.

5.5 The PDF file of any Research Publication is supplied to you on the understanding that any printed copies of the Research Publication made from this file, or further copies of the PDF file itself, are strictly controlled and are used only for informational purposes within your organization. Copies should also not be passed to external third-parties or offered for sale.

5.6 You may cancel your order of a PDF file of a Research Publication within fourteen days of the date of payment by emailing admin@alpsp.org with details. However, you do not have a right to cancel after you have downloaded the PDF file of a Research Publication.

5.7 You may cancel your order of print copy of a Research Publication before delivery or within fourteen days of the date of delivery by messaging us via our Contact Us form with details.

5.8 If you cancel your order of a print copy of a Research Publication after delivery, you must return the unwanted Research Publication(s) at your cost within fourteen days of cancellation. We will refund your payment (including our delivery charges) as soon as possible and in any event no later than fourteen days of receipt of the unwanted Research Publication or receipt of evidence of its return.

5.9 Any Returned Research Publication will be delivered to us at your cost, unless it is defective or damaged.

5.10 Refunds (other than for the delivery costs) will not be given where a Research Publication is returned in an unsaleable condition.

5.11 Unless otherwise specified above in this Clause 5, all refunds are based on the discretion of ALPSP management.

6. Access to and use of the Site

6.1 If you are under the age of 18, please do not use the Site. By using the Site you confirm to us that you are 18 years old or over.

6.2 The Site is currently made available to you free of charge, although we do of course charge for the Membership Services and certain Events. You agree that we can change this at a later date as long as we let you know in plenty of time before we start charging for use of the Site.

6.3 Access to the Site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Site without notice to you.

6.4 Subject to your continued compliance with these Terms, we hereby grant to you a non-exclusive, non-transferable, non-sublicensable, revocable, licence to access and use the Site for your own personal use. If you breach any provision of these Terms, this licence will immediately terminate and you must immediately cease use of the Site.

6.5 You are responsible for making all arrangements necessary for you to have access to the Site.

6.6 You are responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

6.7 You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

6.8 From time to time, you may have the ability to post content to certain areas of the Site and, if you are a Member, you may provide content for your profile (User Generated Content).  Any User Generated Content that you provide or post must not contain anything which:

6.8.1 is defamatory, offensive, untrue, false or otherwise objectionable;

6.8.2 promotes sexually explicit material, violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

6.8.3 infringes the intellectual property rights of any other person;

6.8.4 is made in breach of any legal duty owed to a third party, such as a contractual duty, a duty of confidence or duty of privacy;

6.8.5 promotes any illegal activity; or

6.8.6 advocates, promotes or assists any unlawful act such as (by way of example only) copyright infringement or computer misuse.

6.9 You hereby grant to us a non-exclusive, royalty-free, sub-licensable, transferable, irrevocable licence (other than in relation to your personal data, which shall be a revocable licence) to the information, content and data (including User Generated Content) you provide to us via the Site. For more information about how we will use your data please see our Privacy Policy, available at www.alpsp.org/Privacy.

6.10 You agree to comply with all reasonable instructions that we may give you regarding your use of the Site.

7. Intellectual property rights

7.1 We are the owner or the licensee of all intellectual property rights in the Site. You may download extracts, of any page(s) from the Site, provided that:

7.1.1 the material shall not be reproduced or included in any other work or publication in any medium;

7.1.2 the material may not be modified or altered in any way;

7.1.3 the material may not be distributed or sold to any third party; and

7.1.4 you do not remove any copyright or other proprietary notices contained in the material.  

7.2 If you copy or use any part of the Site in breach of the Terms, your right to use the Site will cease immediately and you must destroy any copies of the materials you have made.

8. Data protection and privacy

Any personal information that we collect from you as you browse and use the Site will be used in accordance with our Privacy Policy. To find out more about the data we collect from you and how we use it please read our privacy policy available at https://www.alpsp.org/cookies-privacy-policy/.

9. Complaints or Queries

If you have any queries or complaints about the Site, the Membership Services, the Events or the Publications, please contact us using the contact information as detailed in Clause 1.5. We will use reasonable efforts to respond to you promptly.

10. Links to and from the Site

10.1 You may link to any page of the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists, nor establish a link to the Site in any website that is not owned by you.

10.2 We reserve the right to withdraw linking permission without notice.

10.3 Where the Site contains links to other websites and resources provided by third parties, these links are provided for your information only. We have no control over the content of those websites or resources and we are not responsible or liable for them in anyway.

11. Availability

11.1 We do not guarantee that the Site will always be available, be uninterrupted, secure or free from bugs or viruses, nor that the Site will be free from errors or omissions.

11.2 We shall not be liable for any delay or failure to perform resulting from causes outside of our reasonable control, including, without limitation, any failure to perform the Membership Services or Events due to unforeseen circumstances or cause beyond our control such as acts of god, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemic or other natural disaster, shortages of transportation facilities, fuel, energy, labour or materials or a failure of public or private telecommunications networks.

11.3 If an event outside of our reasonable control takes place that affects the performance of our obligations under these Terms we will contact you as soon as reasonably possible to notify you and our obligations under these Terms will be suspended and the time for performance of our obligations will be extended for the duration of the event outside of our reasonable control.

12. Limitation of our liability

12.1 You acknowledge that the Site has not been developed to meet your individual requirements. You agree not to use the Site for resale purposes.

12.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation.

12.3 Subject to Clause 12.2, our liability shall be limited to a claim for damages. We will not be liable to you for indirect, special or consequential loss (including but not limited to loss of profit, loss of business, business interruption, loss of business opportunity, loss of data, travel or accommodation costs), howsoever arising, even if we have been advised of such potential loss. Our maximum aggregate liability under or in connection with these Terms whether in contract, tort (including but not limited to negligence) or otherwise, shall in all circumstances be limited to (i) 150% of the aggregate amount that you have paid to us prior to the event giving rise to the liability or (ii) if your claim relates to an Event, the aggregate amount you have paid for the Event giving rise to the liability.

12.4 You shall indemnify us in the event that we incur any claims, costs, damages, losses, or other liability as result of any your actions or omissions, or through using the Site in breach of these Terms.

13. General

13.1 The Terms do not create or infer any rights that are enforceable by any person who is not a party to them.

13.2 We may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or our obligations under these Terms. You may only transfer your rights or obligations under these Terms to another person if we agree in writing.

13.3 If we decide not to exercise or enforce any right that we have against you at a particular time, then this does not prevent us from later deciding to exercise or enforce that right.

13.4 Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.

13.5 These Terms and any non-contractual obligations arising out of them shall be governed by and construed in accordance with English law and the non-exclusive jurisdiction of the English Courts.

14. Gift Vouchers

14.1 ALPSP gift vouchers may be purchased through the ALPSP online shop and may be redeemed against eligible products and services available through the ALPSP online shop at the time of redemption.

14.2 Gift vouchers are valid for 12 months from the date of issue. The expiry date will be shown on the gift voucher. Gift vouchers must be redeemed on or before the stated expiry date and any unused balance remaining after that date will be forfeited.

14.3 Gift vouchers may be used as full or part payment for eligible purchases. Where the value of a purchase exceeds the value remaining on the gift voucher, you must pay the outstanding balance using one of the payment methods available through the ALPSP online shop.

14.4 Where the value of a purchase is less than the value remaining on the gift voucher, any remaining balance may be used towards a future eligible purchase provided that the gift voucher has not expired.

14.5 Gift vouchers have no cash value, cannot be exchanged or redeemed for cash and no cash alternative will be offered.

14.6 Gift vouchers may not be used to purchase another gift voucher.

14.7 Gift vouchers are non-refundable, except where required by law.

14.8 Gift vouchers and gift voucher codes should be treated as cash. ALPSP accepts no responsibility for any gift voucher or gift voucher code which is lost, stolen, deleted or used without the holder's permission. We may, at our discretion, replace a gift voucher where we are able to verify the original voucher and confirm that it has not already been redeemed.

14.9 Gift vouchers may not be resold or transferred for value.

14.10 Where a refund is due for a purchase made wholly or partly using a gift voucher, the amount originally paid using the gift voucher will be returned to the gift voucher or provided as replacement ALPSP voucher credit. Any amount paid using another payment method will be refunded in accordance with the applicable refund terms.

14.11 ALPSP reserves the right to refuse, cancel or suspend a gift voucher where we reasonably believe that it has been obtained, used or applied fraudulently, unlawfully, in error or otherwise in breach of these Terms.

15. On-Demand Training and Recorded Content

15.1 On-Demand Content includes on-demand training courses, recorded webinars and other digital learning content provided by ALPSP. Live webinars and other live Events are covered by Section 4 of these Terms.

15.2 On-Demand Content is provided for use by the individual for whom access has been purchased or granted, unless an organisational or other multi-user licence has been expressly agreed with ALPSP. Where an organisational or multi-user licence applies, access will be subject to any additional terms specified at the time of purchase.

15.3 Unless otherwise stated on the relevant product page or booking confirmation, access to On-Demand Content will be available for six months from the date of purchase or registration. It is your responsibility to access and complete or view the On-Demand Content within the applicable access period.

15.4 Once access to On-Demand Content has been granted, no refund will be provided, subject always to your statutory rights. Where you are purchasing as a consumer and request access to digital content during any applicable statutory cancellation period, we may require your express consent to the immediate supply of that content and your acknowledgement that, once supply has begun, you may lose your statutory right to cancel.

15.5 Access to On-Demand Content is personal to the person or organisation for whom it has been purchased or provided and must not be transferred, sold, shared or otherwise made available to another person unless expressly permitted by ALPSP.

15.6 All copyright and other intellectual property rights in On-Demand Content, including videos, recordings, presentations, course materials, downloads, exercises and supporting materials, remain the property of ALPSP and/or the relevant tutor, presenter or rights holder.

You must not, without our prior written permission:

       15.6.1 copy, reproduce, republish, distribute, sell or commercially exploit any On-Demand Content;

       15.6.2 share login credentials, access links, files or other means of accessing the On-Demand Content with another person;

       15.6.3 record, screen-record, capture or otherwise reproduce video, audio or other protected content, except where a download or copy has expressly been made available by ALPSP; or

       15.6.4 use the On-Demand Content or associated materials to deliver your own training course or programme.

15.7 We may update or make reasonable changes to On-Demand Content from time to time, including changes to materials, tutors, presenters or the platform through which the content is provided, provided that any such change does not materially reduce the content or service purchased.

15.8 If ALPSP permanently withdraws paid On-Demand Content before the end of your applicable access period and is unable to continue to provide access, we will, as appropriate in the circumstances, provide access to suitable replacement content, an alternative means of access, a credit or a refund reflecting the affected part of the purchase.

15.9 We will use reasonable endeavours to ensure that On-Demand Content and the platform through which it is provided remain available during the applicable access period. We cannot guarantee uninterrupted availability and will not be responsible for temporary interruptions caused by maintenance, technical issues or circumstances outside our reasonable control.

15.10 You are responsible for ensuring that you have suitable internet access, equipment, software and browser capability to access the On-Demand Content.

15.11 No extension or refund will be provided where On-Demand Content is not completed or viewed within the applicable access period. An extension may be offered at ALPSP's discretion and may be subject to an additional fee.

15.12 On-Demand Content is provided for general educational and professional development purposes. While ALPSP takes reasonable care in selecting and providing its training content, it does not constitute legal, financial or other professional advice and should not be relied upon as a substitute for advice appropriate to your particular circumstances.

16. Promotions, Competitions and Prize Draws

16.1 All promotions, promotional discounts, competitions, prize draws and similar activities operated by ALPSP (each a “Promotion”) are subject to these Terms and any additional terms applicable to the relevant Promotion (the “Promotion Terms”).

16.2 The Promotion Terms will set out, as applicable, the eligibility criteria, method of entry, opening and closing dates, any purchase requirements, the nature and number of prizes, the method by which winners will be selected and notified, and any other material conditions or restrictions relating to the Promotion.

16.3 If there is any conflict between these Terms and Conditions and the Promotion Terms, the Promotion Terms will apply to that Promotion.

16.4 Unless expressly stated otherwise in the Promotion Terms:

        (a) Promotions are open only to persons who satisfy the eligibility requirements specified for the relevant Promotion;

        (b) entries received after the applicable closing date will not be accepted;

        (c) promotional discounts, offers and discount codes may not be used in conjunction with any other offer or promotion and have no cash value;

        (d) prizes are non-transferable and no cash alternative will be offered; and

        (e) ALPSP may substitute a prize with a prize of equal or greater value where circumstances beyond its reasonable control make it necessary to do so.

16.5 Where a Promotion is a prize draw, the winner or winners will be selected at random from all eligible entries received in accordance with the Promotion Terms. Where a Promotion is a competition involving skill, knowledge, judgement or other stated criteria, entries will be assessed in accordance with the criteria specified in the Promotion Terms.

16.6 ALPSP reserves the right to reject or disqualify any entry where it has reasonable grounds to believe that the entrant has breached these Terms and Conditions or the applicable Promotion Terms, provided false or misleading information, acted fraudulently, or otherwise sought to manipulate or unfairly influence the operation or outcome of the Promotion.

16.7 ALPSP may amend, suspend or cancel a Promotion where circumstances beyond its reasonable control make this necessary. Where reasonably practicable, ALPSP will take appropriate steps to minimise any disadvantage to participants arising from such amendment, suspension or cancellation.

16.8 ALPSP will not be responsible for entries that are lost, delayed, corrupted, incomplete or not received due to technical failures or circumstances beyond ALPSP’s reasonable control.

16.9 Any personal data collected in connection with a Promotion will be processed in accordance with ALPSP’s Privacy Policy and applicable data protection legislation.

16.10 ALPSP’s decision in relation to the administration of a Promotion and the selection of winners will be final, subject always to applicable law and regulatory requirements.

Awards Terms and Conditions

ALPSP Impact and Innovation in Publishing Awards: Conditions of entry

1. The Association of Learned and Professional Society Publishers (ALPSP) reserves the right to make no Award if there are insufficient high quality applications.
2. Applications must be made in accordance with the instructions under ‘How to apply’.
3. The closing date for receipt of entries is 30 April 2026.
4. ALPSP may publish a list of submissions and the statements of innovation or impact . All other information within the applications will be treated in strictest confidence. 
5. The judges will consider all the applications and draw up a shortlist. Representatives of the shortlisted applications will be invited to give a 15-minute virtual presentation to the Judges on 7 or 8 July.
6. Each finalist will be invited to give a 5 minute presentation to showcase their application at the ALPSP Conference.
7. There are no geographical restrictions on entries.
8. If the publication or service is produced on behalf of another organization, the consent of the publication’s owner or service provider is required.
9. Award winners will receive a trophy and certificate. No cash alternative can be substituted for the prize.
10. There are no restrictions on number of entries.
11. Criteria for judging entries are as detailed above.
12. Entries will not be returned.
13. Winners of the Awards will be announced at the ALPSP Conference on 10 September 2026.
