1. Introduction

1.1 These terms and conditions (the Terms) set out the basis on which you may browse and use our website, attend our events, seminars, webinars, training courses and conferences (Events), access our membership services (Membership Services) and access and/or download our digital publications and training materials (Publications), available at www.alpsp.org (the Site). The terms you or your, when used in these Terms, refer to you as a user of the Site and, as applicable, to your organization as an ALPSP member (Member).

1.2 This Site is owned and operated by The Association of Learned and Professional Society Publishers, a company limited by guarantee and incorporated in England & Wales (company number 4081634), with its principal place of business at Egale 1, 80 St Albans Road, Watford, Hertfordshire, WD17 1DL (ALPSPweus or our).

1.3 Your use of the Site will be governed by these Terms and any other documents contained in these Terms, which will form a legal contract between us and you. By browsing or using this Site you are agreeing to be legally bound by the Terms.

2. Changes to the Terms

2.1 We may revise the Terms from time to time, for example if there are changes to relevant laws and regulatory requirements or changes to our business practices. If we revise these Terms we will (i) post the revised Terms on the Site and update the “Last Updated” date below, and (ii) if you are a Member we will email you and give you at least one month's written notice of any changes to these Terms before they take effect. If you are a Member and do not wish to accept the changes, please contact us to cancel your membership by emailing admin@alpsp.org.

2.2 Your use of the Site will be subject to the most recent version of the Terms available on the Site. We recommend that you read through the Terms available on the Site regularly so that you can be sure that you are aware of any changes that may apply to you.

2.3 These Terms were last updated on 30 December 2019.

3. Membership

Eligibility

3.1 We currently have two membership options:

3.1.1 one for not-for-profit organizations involved in publishing academic and professional information (Full Members); and

3.1.2 one for organizations involved in any aspect of the production, promotion, distribution or collection of academic and professional information, or those that work with Full Members (Associate Members).

3.2 If you are an employee of either a Full Member or Associate Member, you can access and use the Membership Services made available from the Site..

3.3 Subsidiaries of a Full Member or Associate Member can benefit from its membership, however a parent company of a Full Member or Associate Member cannot benefit from the subsidiary’s membership.

Applying for Membership

3.4 You may apply for your organization to become a Member by following the instructions on our application page (https://www.alpsp.org/How-to-Join) and by completing the membership form available there on behalf of your organization.

3.5 Please ensure that you read these Terms carefully, and check that the details in your membership form are complete and accurate, before you submit the application. If you think that there is a mistake or require any changes, please contact us to discuss. We will confirm any changes in writing to avoid any confusion between you and us.

3.6 By submitting to your application to us, you represent and warrant on a continuing basis (on behalf of your organization) that:

3.6.1 you have the authority to legally bind your organization;

3.6.2 you accept the ALPSP guidelines for membership (https://www.alpsp.org/write/MediaUploads/Membership/ALPSP_guidelines_for_members_Oct2015.pdf);

3.6.3 the information that you have provided to us (whether in the membership form or otherwise, and including without limitation the information used to calculate your Subscription Rate) is accurate, current and complete, and that you will maintain and promptly update such information;

3.6.4 you shall adhere to legal and ethical good practice; and

3.6.5 you will not bring ALPSP into disrepute through your own activities or business practices.

3.7 When you submit your application to us, this does not mean we have accepted your organization as a Member. When we receive your application, we will check the details and get back to you with any queries. Your application will be submitted to ALPSP’s Council for approval (which may accept or reject your application in its sole discretion). You will receive an email confirming whether your organization (as applicable) has been accepted as a Member. A legally-binding contract between us and your organization, under which we will grant your organization membership, will only be formed when we send you this confirmation and you have paid the applicable Subscription Rate in accordance with Clause 3.8 below.

3.8 If your organization is accepted as a Member, we will send you an invoice for the Subscription Rate (calculated in accordance with Clauses 3.8 and 3.9 below) and your membership will be activated as soon as we receive payment of the Subscription Rate. Please do not send any payment with your membership form.

Subscription Rates

3.9 We offer annual subscriptions that run from 1 January to 31 December each year, and may offer different subscription options in future. Each annual subscription shall be paid in advance by a one-off payment of the applicable subscription rate, which we calculate in accordance with the subscription bands set out here: Subscription Rate.

3.10 We will invoice you for your initial Subscription Rate in accordance with Clause 3.8 above and we will pro-rata the initial Subscription Rate as follows:

3.10.1 if you become a Member between 1 January to 31 March, you will be charged 100% of the initial Subscription Rate;

3.10.2 if you become a Member between 1 April to 30 June, you will be charged 75% of the initial Subscription Rate;

3.10.3 if you become a Member between 1 July to 30 September, you will be charged 50% of the initial Subscription Rate; and

3.10.4 if you become a Member between 1 October to 31 December, you will be charged 25% of the initial Subscription Rate.

3.11 All Subscription Rates are exclusive of VAT or any equivalent sales tax (if applicable). You may only pay using the method of payments displayed on the payment page, no other methods of payment will be accepted. Payment of Subscription Rates will be in pounds sterling (£), US dollars ($) and Euros (€) only.

3.12 We will use our reasonable endeavours to ensure that all Subscription Rates and details of the membership options listed on the Site are correct, however errors may occur. We will notify you as soon as possible in the event that there has been an error, and you will be given an option of confirming your application with the correct price, or cancelling the application and receiving a full refund. If we are not able to contact you after reasonable attempts have been made, we will treat the incorrect application as cancelled, and you will receive a full refund. We will only make refunds to the same method of payment which you used to make your purchase.

Renewals and Termination

3.13 Each year we will send you a renewal notice in order to renew your membership for a further year and the applicable Subscription Rate for that year.

3.14 Once you have received your renewal notice, you must:

3.14.1 check your address details are correct;

3.14.2 check the information that we use to calculate your Subscription Rate is correct and either reconfirm or amend your subscription band; and

3.14.3 inform us of any changes or amendments required.

3.15 If you wish to renew your membership, then you must pay the applicable Subscription Rate to us on or before the specified payment date.

3.16 If you do not wish to renew your membership, you must inform us at admin@alpsp.org on or before 1 January of the year of membership being invoiced. Your membership will lapse after 31 December of the applicable year.

3.17 We may terminate your membership at any time if we reasonably believe your organization has breached these Terms, and you will not be entitled for a refund of any membership fees.

3.18 In the event of termination or non-renewal of your membership, you will no longer be able to access  any Membership Services or any Member benefits.

Privacy and Security

3.19 When setting up your membership, you will be required to provide personal information about yourself and your colleagues (if applicable) (including name, email address, password, postal address, organization name and area of work), and payment details. For more information on about how we will use your and your colleagues’ personal information please see our Privacy Policy, which is available at https://www.alpsp.org/Privacy

3.20 If you are an employee of a Member, you may set up a user account. If you set up a user account, the account password you provide should be unique and kept secure. You agree not to share your account password, and to keep your password confidential. You must notify us immediately in the event of any security breach or unauthorised use of your account.

4. Events

Purchasing tickets

4.1 You may purchase tickets to our Events by using the Site, subject to availability and to these Terms. Our Events are available to both  Members and non-Members unless otherwise notified, however Members are eligible to receive concessions on certain Events in accordance with their membership plan.

4.2 In order to purchase tickets to our Events on the Site, you will need to set up a user account. If you set up a user account, the account password you provide should be unique and kept secure. You agree not to share your account password, and to keep your password confidential. You must notify us immediately in the event of any security breach or unauthorised use of your account.

4.3 In order for you to benefit from a Member-only concession for an Event, or series of Events, your organization must be a Member at both the time of purchase and the time of the Event, or in the case of a series of Events, at both the time of purchase and the time of each Event in the series. If your organization is no longer a Member on the date on which the Event takes place and you still wish to attend the Event, you hereby agree to pay us the difference (if any) between the discounted price and the full price.

4.4 Please ensure that you read these Terms carefully before you submit your order for an Event. Please ensure that you check that the details in your order are complete and accurate, before you submit your order. If you think that there is a mistake or require any changes, please contact us to discuss. We will confirm any changes in writing to avoid any confusion between you and us.

4.5 It is your responsibility to verify that the Event is suitable for your (or your delegates’) requirements and that you (or they) have the necessary level of competence to be able to achieve the objectives, if any, of the Event.

4.6 When you submit any order to us, this does not mean we have accepted your order for an Event. Event prices and offers (including Member concessions) are subject to availability, and are not confirmed until payment has been successfully received. When your order has been accepted you will receive an email confirming this. Please check your email on receipt and contact us immediately if there is a mistake.

4.7 If requested, you must produce your e-ticket or provide your name as shown on your e-ticket in order to gain entry to the Event, and we reserve the right to see proof of identity. Where a concession is claimed, proof of the concession entitlement is required at the point of purchase. Failure to supply such proof when required may result in the full price being charged.

Prices

4.8 Prices for Events will be as shown at the time you place your order on our Site.

4.9 We will use our reasonable endeavours to ensure that all prices and details of the Events listed on the Site are correct, however errors may occur. We will notify you as soon as possible in the event that there has been an error, and you will be given an option of confirming the order with the correct price, or cancelling the order and receiving a full refund. If we are not able to contact you after reasonable attempts have been made, we will treat the incorrect order as cancelled, and you will receive a full refund.

4.10 All Event prices are exclusive of VAT or any equivalent sales tax (if applicable). You may only pay using the methods of payment and currencies displayed on the payment page; no other methods of payment or currencies will be accepted.

Admission

4.11 Admission to the Event is at all times subject to any terms, conditions or rules of the venue operator. If you breach those terms, conditions or rules then the venue operator may refuse admission or require you to leave the venue.

4.12 Latecomers may not be admitted. No refunds will be issued.

4.13 You may take pictures of the Event and share these on social media unless we otherwise notify you. You may only take sound recordings or videos of the Event with our express prior permission.

4.14 We, our service providers or partners may photograph and/or record the Event for later use by us, including without limitation for commercial, administrative, archival, promotional, educational and/or research purposes, and for publication on the Site, and by purchasing tickets you irrevocably consent to being included in the photograph or recording. We will endeavour to let you know, for example by notices at the Event, if we will be photographing or recording. You further irrevocably and unconditionally grant to us all consents which may be required for our use of your image and/or voice as part of such photograph or recording by all means and in all media whether now known or hereafter invented throughout the world for the full period of copyright (including all extensions, revivals, reversions and/or renewals) in perpetuity. If you do not wish your image or words to be recorded, archived and/or published in this way, you should not purchase tickets for the Event.

Materials

4.15 The copyright and all other intellectual property rights in all Event materials shall remain the sole and exclusive property of ALPSP. You undertake that you will not copy or permit the photocopying of Event materials, nor disclose or permit the disclosure or sell or hire the same to third parties, nor use the same for running your own courses.

Changes to Events

4.16 We reserve the right to amend the specification and format of our Events for the benefit of delegates and without notice.

4.17 We reserve the right to make alterations to the Event where necessary, including to the speakers, time and venue. We will use our reasonable endeavours to notify you of any such alterations using the details you provided us with at the time of ordering.

4.18 We reserve the right to withdraw, cancel or reschedule any Event for any reason and in our sole discretion. In the unfortunate event where we have to cancel an Event, we will use our reasonable endeavours to notify you using the details you provided us with at the time of ordering. When this is unavoidable, we will provide you with a full refund or at your option apply all monies paid to us for the Event to a rescheduled or alternative Event. We will only make refunds to the same method of payment which you used to make your purchase.

Cancellation & Refund Policy

4.19 Subject to Clause 4.21, you may cancel your attendance at an Event at any time by writing to us at admin@alpsp.org. If you cancel:

4.19.1 at least 6 weeks prior to the Event, we will provide you with a full refund;

4.19.2 fewer than 6 weeks but at least 4 weeks prior to the Event, we will refund you 75% of the monies paid to us for the Event;

4.19.3 fewer than 4 weeks but at least 2 weeks prior to the Event, we will refund you 50% of the monies paid to us for the Event; or

4.19.4 fewer than 2 weeks prior to the Event, you will not be entitled to a refund.

4.20 Subject to Clause 4.22, you may substitute your delegates attending the Event at no charge up until the day before the Event.

4.21 You may cancel your attendance at the ALPSP Conference at any time by writing to us at admin@alpsp.org. If you cancel:

4.21.1 more than 14 weeks prior to the first day of the ALPSP Conference, we will refund you 75% of the registration fee paid to us;

4.21.2 less than 14 weeks but at least 8 weeks prior to the first day of the ALPSP Conference, we will refund you 50% of the registration fee paid to us; or

4.21.3 less than 8 weeks prior to the first day of the ALPSP Conference, you will not be entitled to a refund.

4.22 You may substitute your delegates attending the ALPSP Conference at no charge up until one week before the ALPSP Conference.

Additional Terms

4.23 Certain Events may have additional terms specific to the nature of the Event (Additional Terms). You agree to be bound by the Additional Terms and to the extent that any Additional Terms conflict with these Terms, the Additional Terms shall prevail in respect of the Event to which they relate.

4.24 Any accommodation booked in connection with an Event will be subject to separate terms, which will be made available to you at the time of booking.

5. Publications

5.1 You may access our Publications by using the Site, subject to eligibility (as some Publications are only available to Members), availability and to these Terms.

5.2 The prices for our Publications will be as shown on our Site. All prices are exclusive of VAT or any equivalent sales tax (if applicable).

Research Publications

5.3 For the purpose of this Clause 5, Research Publications means reports detailing the output of research commissioned by or undertaken by ALPSP and excludes our bulletins and our journal Learned Publishing.

5.4 Members are entitled to a PDF file of all Research Publications free of charge and may order print copies on request and at charge. Non-Members may order PDF file and/or print copies of Research Publications on request and at charge. Please note that alternate terms and conditions may apply to individual Non-Members who may be purchasing Research Publications for reasons outside their trade, business, craft or profession.

5.5 The PDF file of any Research Publication is supplied to you on the understanding that any printed copies of the Research Publication made from this file, or further copies of the PDF file itself, are strictly controlled and are used only for informational purposes within your organization. Copies should also not be passed to external third-parties or offered for sale.

5.6 You may cancel your order of a PDF file of a Research Publication within fourteen days of the date of payment by emailing admin@alpsp.org with details. However, you do not have a right to cancel after you have downloaded the PDF file of a Research Publication.

5.7 You may cancel your order of print copy of a Research Publication before delivery or within fourteen days of the date of delivery by emailing admin@alpsp.org with details.

5.8 If you cancel your order of a print copy of a Research Publication after delivery, you must return the unwanted Research Publication(s) at your cost within fourteen days of cancellation. We will refund your payment (including our delivery charges) as soon as possible and in any event no later than fourteen days of receipt of the unwanted Research Publication or receipt of evidence of its return.

5.9 Any Returned Research Publication will be delivered to us at your cost, unless it is defective or damaged.

5.10 Refunds (other than for the delivery costs) will not be given where a Research Publication is returned in an unsaleable condition.

5.11 Unless otherwise specified above in this Clause 5, all refunds are based on the discretion of ALPSP management.

6. Access to and use of the Site

6.1 If you are under the age of 18, please do not use the Site. By using the Site you confirm to us that you are 18 years old or over.

6.2 The Site is currently made available to you free of charge, although we do of course charge for the Membership Services and certain Events. You agree that we can change this at a later date as long as we let you know in plenty of time before we start charging for use of the Site.

6.3 Access to the Site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Site without notice to you.

6.4 Subject to your continued compliance with these Terms, we hereby grant to you a non-exclusive, non-transferable, non-sublicensable, revocable, licence to access and use the Site for your own personal use. If you breach any provision of these Terms, this licence will immediately terminate and you must immediately cease use of the Site.

6.5 You are responsible for making all arrangements necessary for you to have access to the Site.

6.6 You are responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

6.7 You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

6.8 From time to time, you may have the ability to post content to certain areas of the Site and, if you are a Member, you may provide content for your profile (User Generated Content).  Any User Generated Content that you provide or post must not contain anything which:

6.8.1 is defamatory, offensive, untrue, false or otherwise objectionable;

6.8.2 promotes sexually explicit material, violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

6.8.3 infringes the intellectual property rights of any other person;

6.8.4 is made in breach of any legal duty owed to a third party, such as a contractual duty, a duty of confidence or duty of privacy;

6.8.5 promotes any illegal activity; or

6.8.6 advocates, promotes or assists any unlawful act such as (by way of example only) copyright infringement or computer misuse.

6.9 You hereby grant to us a non-exclusive, royalty-free, sub-licensable, transferable, irrevocable licence (other than in relation to your personal data, which shall be a revocable licence) to the information, content and data (including User Generated Content) you provide to us via the Site. For more information about how we will use your data please see our Privacy Policy, available at www.alpsp.org/Privacy.

6.10 You agree to comply with all reasonable instructions that we may give you regarding your use of the Site.

7. Intellectual property rights

7.1 We are the owner or the licensee of all intellectual property rights in the Site. You may download extracts, of any page(s) from the Site, provided that:

7.1.1 the material shall not be reproduced or included in any other work or publication in any medium;

7.1.2 the material may not be modified or altered in any way;

7.1.3 the material may not be distributed or sold to any third party; and

7.1.4 you do not remove any copyright or other proprietary notices contained in the material.  

7.2 If you copy or use any part of the Site in breach of the Terms, your right to use the Site will cease immediately and you must destroy any copies of the materials you have made.

8. Data protection and privacy

Any personal information that we collect from you as you browse and use the Site will be used in accordance with our Privacy Policy. To find out more about the data we collect from you and how we use it please read our privacy policy available at https://www.alpsp.org/Privacy.

9. Complaints or Queries

If you have any queries or complaints about the Site, the Membership Services, the Events or the Publications, please contact us using the contact information as detailed in Clause 1.5. We will use reasonable efforts to respond to you promptly.

10. Links to and from the Site

10.1 You may link to any page of the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists, nor establish a link to the Site in any website that is not owned by you.

10.2 We reserve the right to withdraw linking permission without notice.

10.3 Where the Site contains links to other websites and resources provided by third parties, these links are provided for your information only. We have no control over the content of those websites or resources and we are not responsible or liable for them in anyway.

11. Availability

11.1 We do not guarantee that the Site will always be available, be uninterrupted, secure or free from bugs or viruses, nor that the Site will be free from errors or omissions.

11.2 We shall not be liable for any delay or failure to perform resulting from causes outside of our reasonable control, including, without limitation, any failure to perform the Membership Services or Events due to unforeseen circumstances or cause beyond our control such as acts of god, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemic or other natural disaster, shortages of transportation facilities, fuel, energy, labour or materials or a failure of public or private telecommunications networks.

11.3 If an event outside of our reasonable control takes place that affects the performance of our obligations under these Terms we will contact you as soon as reasonably possible to notify you and our obligations under these Terms will be suspended and the time for performance of our obligations will be extended for the duration of the event outside of our reasonable control.

12. Limitation of our liability

12.1 You acknowledge that the Site has not been developed to meet your individual requirements. You agree not to use the Site for resale purposes.

12.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation.

12.3 Subject to Clause 12.2, our liability shall be limited to a claim for damages. We will not be liable to you for indirect, special or consequential loss (including but not limited to loss of profit, loss of business, business interruption, loss of business opportunity, loss of data, travel or accommodation costs), howsoever arising, even if we have been advised of such potential loss. Our maximum aggregate liability under or in connection with these Terms whether in contract, tort (including but not limited to negligence) or otherwise, shall in all circumstances be limited to (i) 150% of the aggregate amount that you have paid to us prior to the event giving rise to the liability or (ii) if your claim relates to an Event, the aggregate amount you have paid for the Event giving rise to the liability.

12.4 You shall indemnify us in the event that we incur any claims, costs, damages, losses, or other liability as result of any your actions or omissions, or through using the Site in breach of these Terms.

13. General

13.1 The Terms do not create or infer any rights that are enforceable by any person who is not a party to them.

13.2 We may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or our obligations under these Terms. You may only transfer your rights or obligations under these Terms to another person if we agree in writing.

13.3 If we decide not to exercise or enforce any right that we have against you at a particular time, then this does not prevent us from later deciding to exercise or enforce that right.

13.4 Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.

13.5 These Terms and any non-contractual obligations arising out of them shall be governed by and construed in accordance with English law and the non-exclusive jurisdiction of the English Courts.

Awards Terms and Conditions

ALPSP Impact and Innovation in Publishing Awards: Conditions of entry

  1. The Association of Learned and Professional Society Publishers (ALPSP) reserves the right to make no Award if there are insufficient high quality applications.
  2. Applications must be made in accordance with the instructions under ‘How to apply’.
  3. The closing date for receipt of entries is 10 May 2024.
  4. ALPSP may publish a list of submissions and the statements of innovation or impact . All other information within the applications will be treated in strictest confidence. 
  5. The judges will consider all the applications and draw up a shortlist. Representatives of the shortlisted applications will be invited to give a 15-minute virtual presentation to the Judges on 8 or 9 July.
  6. Each finalist will be invited to give a 5 minute presentation to showcase their application at the ALPSP Conference.
  7. There are no geographical restrictions on entries.
  8. If the publication or service is produced on behalf of another organization, the consent of the publication’s owner or service provider is required.
  9. Award winners will receive a trophy and certificate. No cash alternative can be substituted for the prize.
  10. There are no restrictions on number of entries.
  11. Criteria for judging entries are as detailed above.
  12. Entries will not be returned.
  13. Winners of the Awards will be announced at the ALPSP Conference on 12 September 2024.
